“ToolsEngg,” “we,” “our,” or “us” refers to ToolsEngg and its related operations.

“Affiliate,” “you,” or “your” refers to the individual, business, or entity applying to or participating in the ToolsEngg Affiliate Program.

“Affiliate Site” means the website, platform, or approved promotional medium used by the Affiliate.

“Products and Services” means the products and services offered through ToolsEngg.com.

“Commission” means the amount payable to an Affiliate for a Qualified Purchase under this Agreement.

“Qualified Purchase” means an eligible purchase that meets all conditions of this Agreement.

“Referred Customer” means a new and unique customer referred through an approved Affiliate link.

“Registration Form” means any signup, order, or application form submitted in connection with a purchase.

To begin the enrollment process, you must submit a completed Affiliate Program signup form through the ToolsEngg affiliate portal.

We will review each application in good faith and may accept or reject any application at our sole discretion, including where an applicant’s site or promotional method appears unlawful, misleading, objectionable, or inconsistent with our policies.

If your application is rejected, you may not reapply using the same or a substantially similar domain, website, or identity in an attempt to avoid rejection.

If accepted into the Affiliate Program, you may use only the graphic or text links, banners, brand assets, and promotional materials provided or expressly approved in writing by ToolsEngg.

You must not modify approved materials without prior written consent, and you must not use deceptive techniques such as cookie stuffing, forced clicks, hidden iframes, or any tracking method that records referrals without a user’s informed action.

Any statement about ToolsEngg, its products, pricing, offers, discounts, or policies must be accurate and must either be supplied by us or expressly approved by us in writing in advance.

Except as expressly permitted under this Agreement, you may not use the ToolsEngg name, trademarks, logos, service marks, copyrighted materials, or any confusingly similar variations without our prior written permission.

You may not use our intellectual property in domain names, subdomains, social handles, search advertisements, paid keywords, metatags, hidden text, source code, or any placement likely to create confusion regarding affiliation, ownership, sponsorship, or endorsement.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use approved ToolsEngg promotional materials solely for your participation in the Affiliate Program and only while you remain in good standing.

You are responsible for complying with all applicable advertising, endorsement, consumer protection, privacy, and disclosure laws and regulations relevant to your promotional activities.

If you publish reviews, comparisons, endorsements, social posts, email promotions, or any content that includes ToolsEngg affiliate links, you must clearly and prominently disclose your material relationship with ToolsEngg wherever legally required.

Failure to comply with applicable disclosure and advertising requirements may result in suspension, commission withholding, or immediate termination from the Affiliate Program.

ToolsEngg will process orders placed by customers referred through approved Affiliate links.

We reserve the right to reject any order that does not meet our internal criteria, fraud checks, policy requirements, or business rules.

You are responsible for ensuring that your Affiliate links are correctly formatted so that referrals, reporting, and commission calculations can be properly tracked.

Commissions are payable only on Qualified Purchases that satisfy all requirements of this Agreement.

1. The Referred Customer must be new, unique, and verifiably attributable to your approved Affiliate link.
2. The Referred Customer must provide valid account, contact, and payment details.
3. The purchase must not be canceled, refunded, charged back, suspended, or identified as fraudulent.
4. The Referred Customer must remain in compliance with our active policies and terms.
5. The referral must not result from unauthorized coupons, misleading claims, incentive abuse, artificial traffic, or prohibited promotional methods.

ToolsEngg may withhold, reverse, decline, or deny commissions where there is suspected fraud, abnormal cancellation behavior, duplicate or low-quality referrals, policy violations, manipulated tracking activity, or any conduct that we reasonably determine to be improper.

Subject to this Agreement, commission rates, payout rules, thresholds, and eligible payment methods will be shown in your Affiliate Console or otherwise communicated by ToolsEngg.

Commission payments are generally processed approximately 15 to 30 days after the end of the month in which they accrued, provided all eligibility, tax, verification, and payment requirements have been satisfied.

A commission becomes payable only after the applicable minimum payout threshold is reached and the corresponding purchases remain valid and in good standing.

Payment Methods

• Bank transfer, where available and approved.
• PayPal, where available and legally supported.
• Account credit or other methods specified by ToolsEngg.

ToolsEngg is not responsible for third-party bank charges, PayPal charges, foreign exchange losses, intermediary fees, or payment delays caused by third-party financial institutions.

You are solely responsible for providing complete and accurate legal, tax, banking, and address information required for commission processing.

You are also solely responsible for the payment of any taxes, levies, duties, withholding obligations, reporting obligations, or similar statutory liabilities applicable to commissions paid to you.

If required documentation is not submitted within the time specified by ToolsEngg, commissions may be delayed, withheld, canceled, or deemed non-payable to the extent permitted by law.

You are solely responsible for the development, operation, maintenance, security, and legality of your site and all content, communications, and promotional materials published by you.

You represent and warrant that your site and promotional activities do not infringe third-party rights, do not contain unlawful or defamatory material, and do not violate any applicable law, platform rule, or regulatory requirement.

ToolsEngg may monitor your participation and compliance at any time and may suspend or terminate your participation immediately for any breach.

You must not send spam, bulk unsolicited email, or any similar communication containing ToolsEngg promotional content or affiliate links without prior written approval and lawful consent where required.

You must comply with all applicable anti-spam and electronic marketing laws, including consent, unsubscribe, sender identification, and disclosure requirements.

Any violation of anti-spam requirements will be treated as a material breach of this Agreement and may result in immediate forfeiture of unpaid commissions.

Customers who purchase through the Affiliate Program will be treated as ToolsEngg customers for all purposes relating to orders, pricing, product availability, support, cancellations, and refunds.

ToolsEngg may change pricing, product availability, policies, and operating procedures at any time, and such changes may affect products or pricing information previously displayed by you.

You must not present outdated or misleading claims regarding ToolsEngg pricing, benefits, discounts, or availability.

This Agreement begins when your application is accepted and continues until terminated by either party.

Either party may terminate this Agreement at any time, with or without cause, subject to any accrued rights and obligations that survive termination.

ToolsEngg may suspend or terminate your participation immediately for breach, suspected fraud, legal risk, policy non-compliance, misuse of intellectual property, deceptive promotion, or any other conduct we consider harmful to our business or customers.

Upon termination, any unpaid commissions may be withheld for a reasonable review period, and commissions related to invalid, canceled, refunded, or non-compliant transactions may be forfeited.

You agree to defend, indemnify, and hold harmless ToolsEngg, its affiliates, officers, employees, agents, and representatives from and against any claims, damages, losses, liabilities, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to your site, your promotional conduct, your breach of this Agreement, your violation of law, or your infringement of any third-party rights.

Any non-public commercial, operational, financial, technical, or program-related information disclosed in connection with the Affiliate Program must be treated as confidential and may not be disclosed or used except as necessary to perform under this Agreement or as required by law.

You and ToolsEngg are independent contracting parties. Nothing in this Agreement creates any partnership, agency, franchise, employment, fiduciary, or joint venture relationship between the parties.

This Agreement will be governed by the laws of India and the applicable jurisdiction of Tamil Nadu, without regard to conflict-of-law principles.

Subject to applicable law, the courts having jurisdiction in Tamil Nadu, India, will have exclusive jurisdiction over disputes arising out of or in connection with this Agreement.

ToolsEngg may modify this Agreement from time to time by posting an updated version on its website or affiliate portal.

Your continued participation in the Affiliate Program after any update becomes effective will constitute your acceptance of the revised Agreement.
